Auto-Renewal Agreement for Zenya Paid Subscriptions

Welcome to use the auto-renewal service for Paid Subscription of Zenya provided by [Beijing Dui Niu Tan Qin Technology Co. Ltd] (“we”, us or our”). To protect your rights and interests, please carefully read all the contents of this auto - renewal agreement (the "Agreement") before you apply to activate the auto - renewal service for the Product.

If you read and agree to this Agreement according to the prompts on the activation page of Zenya’s auto-renewal service and complete all the activation procedures, it means that you have fully read, understood and accepted all the contents of this Agreement, and reached an agreement with us to activate the auto-renewal service for your Paid Subscription to Zenya. During the process of reading this Agreement, if you do not agree to this Agreement or any of its terms, you should immediately stop the activation procedure.

If you are under 18 years old, please activate the auto-renewal service for the Paid Subscription under the accompaniment of your legal guardian or with the consent of your legal guardian. The exercise and performance of the rights and obligations under this Agreement by minors shall be deemed to have obtained the recognition of their legal guardians, and this Agreement shall be legally binding on you and your legal guardians.

This Agreement serves as a supplementary agreement to the relevant agreements of Zenya (including Zenya Paid Subscription Agreement, Zenya Term of Use, Zenya Privacy Policy and various rules that may be issued/updated by us in the future). In case of any conflict between the text of this Agreement and the relevant agreements Zenya, this Agreement shall prevail; for matters not covered in this Agreement, the provisions of the relevant agreements of Zenya shall apply. In order to provide you with better services, we will continue to enrich the relevant service terms in the future and post them in accordance with legal procedures. All the aforesaid terms and rules are an integral part of this Agreement and have the same legal effect as this Agreement. Capitalized terms used in this Agreement that are not specifically defined shall have the meanings given to the applicable capitalized terms in the Zenya Terms of Use.

1. Auto-Renewal Subscription Service

1.1 Service Details

The auto-renewal service under this Agreement refers to a service provided by us to avoid service interruption caused by your negligence or any other reasons for failure to renew in a timely manner, on the premise that you subscribe to Zenya Paid Subscription.

1.2 Subscription Durations

We offer various subscription periods, [including but not limited to monthly, quarterly, and Yearly] subscriptions. Each subscription period starts on the date of subscription and ends at the expiration of the selected term. If you do not cancel the auto-renewal service before the end of your current subscription period, your subscription will be automatically renewed for the same duration.

2. Auto-Renewal Terms

2.1 Authorization

After you successfully subscribe to Zenya Paid Subscription, your payment to Zenya or the third party through which you purchased the Paid Subscription will automatically renew at the end of the applicable current subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription period. [Three (3)] days before the expiration of the then-current subscription period, we will send you a reminder notice before the payment date via means such as [in-app messages and/or text messages]. If you do not cancel the auto-renewal within the time limit specified in Article 4 of this Agreement, the Paid Subscription will automatically renew for the next subscription period, thus extending the valid period of the service of Zenya Paid Subscription.

2.2 Renewal Price

The renewal price is the same as the price when you first subscribed. In case of any price adjustment, we will notify you five (5) days in advance via means such as [in-app messages and/or text messages]. If you continue to use the auto-renewal service after the price adjustment, it shall be deemed that you agree to the adjusted price.

3. Payments

3.1 Methods of Payment

The payment of Paid Subscription will be automatically made by methods you have bound in the [Google Play Store] and/or [Apple App Store], including but not limited to credit cards, debit cards, and e-wallets.

3.2 Time of Payment

The payment of Paid Subscription will be automatically made within [24 hours] before the expiration of the then-current subscription period. If the automatic payment fails, we will try again within the next [24 hours]. If the payment fails again, your subscription service will be terminated at the end of the current subscription period. Please pay attention to the available balance of the automatic payment accounts. You shall bear the risks or losses caused by renewal failure due to account problems or insufficient balance.

4. Cancellation of Auto-Renewal

4.1 Methods of Cancellation

If you wish to cancel the auto-renewal of Paid Subscription, you can cancel it at any time by going to the account settings in the [Google Play Store] and/or [Apple App Store], finding the corresponding Paid Subscription, and following the prompts of cancellation. If you finish the settings abovementioned, the cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free version of the Zenya Service. We do not provide refunds or credits for any partial subscription periods, except as expressly stated in these Zenya Terms of Use.

4.2 Time Limit for Cancellation

If you wish to cancel the auto-renewal of Paid Subscription, it is recommended that you cancel it at least [24 hours] before the expiration of the current subscription period. If you apply for cancellation after the expiration of the current subscription period, the subscription fees will not be refunded, and you shall bear the relevant responsibilities.

5. Miscellaneous

5.1 Service Change and Termination

We have the right to adjust, change or terminate part or all of the services of Zenya Paid Subscription (including but not limited to changing, adding, reducing, optimizing some membership rights and interests, and the charging standard of the Paid Subscription service) pursuant to laws, regulations, regulatory policies, changes in operating strategies, and user needs. If you are unable to continue using the service of Paid Subscription due to service change or termination, we will handle the refund for you according to the unused subscription period.

5.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Peoples Republic of China.

5.3 Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be first resolved through friendly negotiations between the parties. If the negotiations fail, either party may submit the dispute to arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules (“HKIAC Rules”) in force by one or more arbitrators appointed in accordance with the HKIAC Rules. The seat of arbitration shall be Hong Kong.

5.4 Modifications and Amendments

We have the right to modify or amend this Agreement according to business development, changes in laws and regulations, etc. The amended Agreement will be posted in the app or through other appropriate means. If you continue to use the auto-renewal Paid Subscription service after the amendment of the Agreement, it means that you agree to accept the amended Agreement.
